The role involves overseeing the lifecycle of contracts within an organization, ensuring compliance with legal and regulatory requirements, and collaborating with various stakeholders to manage contracts effectively.
Responsibilities
- Contract Development: Collaborating with various stakeholders to draft contracts that accurately reflect the intentions and agreements of the parties involved. This involves ensuring that contracts are legally compliant, contain appropriate terms and conditions, and mitigate potential risks
- Contract Review: Conducting thorough reviews of contracts to identify any legal or operational risks, ambiguities, or inconsistencies. This may involve working closely with legal counsel to seek advice and clarification on complex legal issues
- Negotiation and Revision: Participating in contract negotiations with counterparties, focusing on protecting the organization's interests and ensuring that contractual terms are fair and favorable. The contract manager may suggest revisions or amendments to achieve a mutually beneficial outcome
- Contract Execution: Overseeing the proper execution and signing of contracts by all parties involved. This includes tracking contract milestones and ensuring compliance with any legal or regulatory requirements for contract execution
- Contract Management: Managing the ongoing lifecycle of contracts, including monitoring key dates, milestones, and deliverables. This involves tracking contract renewals, amendments, and terminations, as well as ensuring compliance with contractual obligations
- Contract Administration: Maintaining a central repository or contract management system to organize and store contracts securely. This includes keeping accurate records of all contract-related communications, amendments, and documentation
- Stakeholder Collaboration: Collaborating with various internal and external stakeholders, such as legal teams, procurement departments, vendors, and clients, to facilitate effective contract management and ensure alignment with business objectives
- Legal Compliance: Staying up to date with relevant laws, regulations, and industry standards that impact contract management. The contract manager must ensure that contracts are in compliance with legal and regulatory requirements, as well as internal policies
Skills
- Professional experience in overseeing the lifecycle of contracts within an organization
- Ability to draft contracts that accurately reflect the intentions and agreements of the parties involved
- Experience in conducting thorough reviews of contracts to identify legal or operational risks, ambiguities, or inconsistencies
- Participation in contract negotiations with counterparties
