We are two non-US residents looking for an experienced US corporate/securities lawyer to set up a US LLC (state of your recommendation) for a very small private round (€200k–€1M) exclusively with family & friends.
The LLC will invest in publicly traded equity securities (primarily US-listed stocks and ETFs).
We need a complete all-in-one package (fixed fee preferred) including:
- Formation of a new US LLC (remote, non-US owners)
- EIN obtention
- Registered agent (first year)
- Operating Agreement (preferred membership interests, management fees, redemption terms, etc.)
- Short-form PPM (8-12 pages)
- Subscription Agreement + Investor Questionnaire (English + Spanish version preferred)
Form D filing + any required state notices
Full tax guidance on:
– Optimal tax election
– US tax treatment of realized capital gains (rebalancing)
– US tax treatment of dividend income
– Distributions / withholding for non-US investors
– All required IRS and state filings (initial and ongoing)
Bonus if you (or your firm) also offer ongoing US bookkeeping / tax return preparation.
Must-have:
- Proven experience with identical private family & friends LLCs for equity investments (please share redacted examples).
- No general solicitation — only pre-existing relationships.
